The operator and the purpose of the service
RAHTIS is a digital service of Aivomaa Oy (business ID 3592993-6, VAT number FI35929936, Kankarepolku 5F B335, 00770 Helsinki, Finland). For service and contract matters: admin@rahtis.eu. The service is intended for the business activity of companies and self-employed operators.
These terms govern registration, access, the use of accounts, the publishing and handling of jobs, the exchange of documents and the general rules of the service. The shipper is the party ordering carriage from Aivomaa Oy. The carrier is an external performer engaged by Aivomaa Oy under a separate agreement. The user is a natural person acting on behalf of their company within the authority granted to them.
Aivomaa Oy accepts an order in its own name and sees to its performance, engaging external carriers where needed. Aivomaa Oy is the shipper's counterparty in an accepted order. Engaging a carrier does not in itself create a direct contract between the shipper and the carrier.
Aivomaa Oy neither carries goods nor owns vehicles. Transport is performed by the carrier with its own equipment and under its own operating licence, and Aivomaa Oy pays the carrier under its agreement with it. The shipper pays Aivomaa Oy.
Documents and their acceptance
A user with the necessary authority accepts these terms on behalf of the company at registration or before the service is first used. Ordering carriage additionally requires acceptance of the customer terms. Transport performed by an external carrier requires a separately accepted carrier agreement; publishing these terms does not replace accepting it.
The applicable terms are made available before any commitment. Aivomaa Oy records the accepted version, the date and the person who acted for the company. A company may request copies of the documents applicable to its order from admin@rahtis.eu.
Mandatory law and applicable international conventions take precedence. After them apply, in order: the changes to the order last agreed by the parties; the confirmed order and expressly agreed special terms; the customer terms or the carrier agreement together with the rates included in them; these terms. A change displaces an earlier term only to the extent the parties actually changed it.
Guidance and marketing material do not alter the contract unless expressly incorporated into it. The price and other terms shown at confirmation and accepted by the parties form part of that order. The carrier agreement imposes no obligations on the shipper without the shipper's separate consent.
The privacy notice explains how personal data is processed. Accepting contractual terms is not a general consent to any kind of processing.
Registration and authority
There is no open self-registration: an application is reviewed and the company is checked against public registers before approval. The company provides accurate registration, tax, contact and payment details and keeps them up to date. Aivomaa Oy may verify the details against registers and request documents needed for identification, performance of the order and prevention of misuse.
The carrier confirms that it holds the required licences and insurance and the right to perform the transport in question. Each vehicle is approved separately, and open jobs are visible only to a company with at least one approved vehicle and valid documents. Approval to the service does not relieve the performer of the requirements on transport, cabotage, equipment and working time.
The company determines the authority of its users. A driver's access for passing on statuses, photographs and documents does not in itself give the driver authority to change the price or bank details, or to accept contractual terms on behalf of the company.
The carrier registers its drivers in the service and links them to vehicles. A driver's telephone number is their identifier in the service and in the driver app, and one number can belong to only one active driver. Changing the driver of a vehicle does not remove the vehicle's approval; the change is recorded with its author and time. A vehicle without a driver cannot take jobs.
Drivers' shifts, breaks and odometer readings can be recorded in the service. They are recorded by the carrier or by the driver in the driver app, and later changes and deletions are recorded in a change log. The service's pay calculator computes with the model the carrier chooses: rates the carrier enters itself, or a collective agreement template provided by Aivomaa Oy that contains the agreement's wage tables and supplements. The calculator is indicative. The final pay is determined by the employer and the employment contract or collective agreement (Laskuri on suuntaa-antava. Lopullinen palkka määräytyy työnantajan ja työsopimuksen/TES:n mukaan.). As the employer, the carrier is responsible for paying wages, for the record of working hours, for compliance with working time rules and for the model it uses matching the collective agreement that binds it; Aivomaa Oy is not the driver's employer and neither calculates nor pays wages. [This clause is to be completed with counsel: responsibility for keeping the template up to date.]
The company's main user may invite other users of the company, dispatchers, to the service. Each has their own personal credentials and the same functions as the main user; only the main user adds and removes users. A dispatcher's actions in the service are the company's actions. The company is responsible for having the right to provide the invited person's name and email address, and removes the access as soon as the person's authority ends. Assignments, documents and entries made by a removed user remain in the company's records.
Accounts and security
The user keeps their credentials confidential, does not pass them to unauthorised persons and reports any suspected compromise immediately. The company promptly ends the access of persons whose authority has ceased.
Bank details are entered in the company's own view. Aivomaa Oy may request confirmation that the account belongs to the company and of the authority of the person changing the details. A message on WhatsApp or other informal correspondence is not in itself sufficient ground for changing the payee account.
Unauthorised access, circumvention of restrictions, interference with the service, falsification of documents or statuses, offering unlawful cargo and knowingly providing false information are prohibited. The interface is used only within the rights granted.
A shipper can create application programming interface (API) keys in the service to connect its own systems to the service, and subscribe to event notifications (webhooks) at its own address. A key and a notification signing secret are secret identifiers: they are shown once when created, and Aivomaa Oy cannot see a key afterwards. Actions taken with a key are treated as actions of the company in the same way as actions of the user who created the key. The company keeps the key and the secret secure, gives them only to the systems that need them and revokes them at once if they may have come to the knowledge of a third party. The company is responsible for the server that receives the notifications and for who gets the data through it. Use of the interface is limited by the number of requests, and a key stops working when the company's access or the rights of the user who created it end. [This clause is to be completed with counsel: liability for misuse of a key before it is revoked.]
What is carried through the platform
Three kinds of transport are ordered in the service: semi-trailer swaps, container haulage and express transport by van or truck. No other freight is ordered through the service.
In trailer and container work a unit moves: the tractor collects the trailer or the container and delivers it to the agreed place. In express work the load travels in the vehicle and no unit is exchanged on the way. The order states which of the two applies.
The operating area is the ports and terminals of Scandinavia: Finland, Sweden, Norway and Denmark. For a trailer the type and registration are given, for a container the length in feet and the ISO 6346 number, and for a load the loading metres and the weight.
The service limits offers to equipment fit for the work: a container job is visible only to vehicles whose chassis accepts the stated length, and a load is visible to those whose load space and capacity suffice. The limitation is a technical aid and does not replace the performer's own assessment of the safety and permissibility of the transport.
Ordering, offers and formation of the contract
The shipper publishes the job. Stop addresses are picked from the service's suggestions so that they carry coordinates, and the distance is computed from them along a route suitable for heavy vehicles. The shipper may correct the computed distance.
Publishing a job, the display of an indicative price or an automatic notification does not mean that Aivomaa Oy has undertaken to perform the transport. On the board, at most three offers are accepted per job.
On the board, the shipper selects an offer and the selected performer confirms the work. Each decision has a 15-minute deadline, after which the job returns to the board. A binding contract of carriage is formed when the performer confirms the work; before that, either party may step back without consequence.
The confirmation determines the parties, the route, the load or the unit to be carried, the schedule, the price and any special terms. Acceptance by an external carrier is governed by the carrier agreement and the confirmation issued under it.
Performance cannot require breaking the law, overloading, breaching driving and working time rules or unsafe acts. Where a job is of that kind, the performer is not obliged to confirm it or to continue performing it.
The shipper may send a job directly to a vehicle that has performed its jobs, provided the vehicle's carrier has allowed direct orders from that shipper. If a carrier has invited the shipper to the service, the shipper may, once approved, send direct orders to all of the carrier's approved vehicles even without previous jobs: the invitation is the carrier's permission for direct orders, and the carrier may withdraw it under clause 6.7. A direct order does not go to the board and has no deadline: it waits until the carrier or its driver confirms it, and the contract of carriage is formed on confirmation as under clause 6.3. Before confirmation the shipper may move the job to the board and the carrier may decline; in either case the job is published on the board. If the vehicle's carrier uses the service for a monthly fee, the direct order is made between the shipper and the carrier as set out in clause 8.5 (a): the carrier invoices the shipper itself and is responsible for the transport, and Aivomaa Oy passes on the data and a report of the work done. In other cases Aivomaa Oy is the shipper's contracting party in direct orders as well. The shipper may also first offer a job to a group of known vehicles (2–10) for a period it chooses (15–120 minutes). During that period the job is visible only to the carriers of those vehicles, and no board offers are taken. The first carrier to take the job for a vehicle in the group gets it, and the contract of carriage is formed on taking without a separate confirmation. If nobody takes the job within the period, it is published on the board for other carriers.
The carrier decides which shippers may send direct orders to its vehicles and may withdraw that permission at any time; withdrawal does not affect orders already sent. For such vehicles the shipper sees the registration number, the vehicle's details and the carrier's rating and, for contact, the driver's name, telephone number and email address. If the vehicle's carrier uses the service for a monthly fee, the shipper also sees the carrier's name, business identity code and, for payment, its account number and BIC code: the parties invoice and pay each other, and the party issuing the invoice cannot remain unknown. If the job is performed as subcontracting, the carrier's name and other details are not shown to the shipper, because the shipper's contracting party and invoicing party is Aivomaa Oy. Likewise, the carrier sees a shipper's name only for those shippers it invoices directly or has itself invited to the service; otherwise shippers are shown to it by a code, the number of jobs and the latest route. The loading and unloading place details needed to perform the transport are visible to the carrier and the driver.
On the offer table, an assignment shows the city of the loading and unloading place, the schedule, the distance, the cargo and the details of the unit to be transported. The name of the place, the exact address, the booking reference, notes, contact persons and the exact route line are not shown, and on the map the points are presented with an accuracy of about ten kilometres. The full details of the points open to the carrier and the driver to whom the job has been assigned; without them the load cannot be collected. In addition, the board may show the typical waiting time at the place of a stop, calculated from the arrival and confirmation times of earlier jobs in the service at the same place over the last 12 months, once there are at least three jobs. The figure is statistical guidance, not a promise about the waiting time of this job, and it does not show whose jobs it was calculated from. The shipper sees the same figures for its own loading and unloading sites.
The service automatically calculates key figures for a carrier from its completed jobs over the last 12 months: the number of jobs, the share of on-time arrivals (arrival no later than 15 minutes after the agreed time), the share of jobs with an uploaded consignment note, jobs given up, claims by shippers and the share of direct orders accepted. A percentage is shown only once there are at least five observations. The carrier and the administrator see all figures; in offers the shipper sees the number of jobs and the on-time share without the carrier's name. The figures inform the shipper's choice and do not by themselves prevent the carrier from using the service. For a transfer run, the handover photo counts towards the share of uploaded waybills.
Once a vehicle has been assigned to a job, the shipper, the carrier and the job's driver can exchange messages about the job in the service and the driver app until three days have passed from the end of the job. The messages are visible to these parties. Aivomaa Oy's staff see the messages only if a claim has been made concerning the job. The messages are intended for performing the job: the schedule, arrival, site instructions and waiting. Translations of messages are machine translations, and in case of conflict the original message prevails. The anonymity of clause 6.7 also applies to messages: a message shows the sender's role and the driver's first name.
Changes and interruptions
The shipper may propose changes to future stages in advance: adding, removing or changing stops that have not been reached. Every change is written to the job's change log with its author and time, and the performer is notified.
Stops and stages already marked by the driver are not altered retroactively. An error is corrected by a separate clarification, leaving the original event, its author, its time and the reason for the correction visible.
Changing stops does not in itself change the distance or the price. Those change only through a separate update confirmed by the shipper; the service proposes a new price at the originally agreed price per kilometre. A driver's reply, a notification or an assistant's answer does not in itself change the agreed price.
The shipper or Aivomaa Oy may cancel the job before it is completed. The cancellation is written to the log with its reason and the performer is notified. The amount payable for work actually done and the next steps are handled under the customer terms and applicable law.
The performer may step back from a job it has confirmed. If no stop has been reached, the job returns to the board for others; if the run has started, the job is interrupted and Aivomaa Oy makes contact. Stepping back is written to the log. A load, trailer or container already taken over is kept until it is properly handed over, and the handover is agreed through Aivomaa Oy.
Documents, reports and settlement
Documents and photographs are attached to the job in question. The shipper receives the documents and performance data of its own job. A user must not upload personal data or documents of outsiders that the work does not require.
A job cannot be marked complete before the consignment note is attached to it. Damage is recorded on the job with photographs and the stage concerned. Where a signature or an upload is impossible, the performer reports the reason to Aivomaa Oy and delivers the available evidence of performance. A transfer run — picking up the transported unit and leaving it at another place without loading or unloading — is closed, instead of a waybill, with a handover photo taken of the unit at the place where it is left.
Statuses, photographs, documents and the event log serve to organise the work and to show that it was performed. They are assessed together with other evidence and are not treated as inherently error-free or conclusive. The estimated time of arrival shown by the service is an indicative estimate based on the route and traffic or on the carrier's notice, and is not an agreed delivery time.
The settlement period is half a month: the 1st to the 15th, and the 16th to the last day of the month. A transport belongs to the period in which it was marked complete. Aivomaa Oy sends the shipper an invoice automatically when the period ends. The shipper pays within 15 days of the end of the period, and the carrier is paid within 30 days of the end of the period.
The service can be used in two ways, and the carrier chooses which one it uses. The way can be changed in the service, and the change applies to jobs confirmed after it: the fees on jobs already confirmed or completed do not change. A move to subcontracting takes effect immediately. A return to the monthly fee takes effect from the beginning of the next calendar month, because work taken as subcontracting is driven to the end on its terms. (a) The platform for a monthly fee: the fee is 29.90 euros per calendar month for each vehicle that has at least one job marked complete during that month; no fee is charged for the other vehicles registered in the service. This covers both the carrier's own clients and the direct orders of a shipper in the service where the shipper has added the vehicle to its own vehicles. No percentage is charged on these jobs: the contract of carriage is between the carrier and its client, and Aivomaa Oy does not invoice the client, receive payments or bear liability for the transport, but delivers a report of the work done in the service. The monthly fee is deducted from the settlement paid to the carrier where there is one; if there is no settlement or it is not sufficient, the uncovered part is invoiced after the end of the month on the usual payment terms. (b) Subcontracting: the carrier acts as a subcontractor of Aivomaa Oy, in which case Aivomaa Oy is the shipper's contracting party, invoices the shipper, receives the consignment notes, delivers the reports and handles the claims. The fee is 3 per cent of the price of every job and is deducted from the settlement paid to the carrier; no monthly vehicle fee is charged in that case. Where Aivomaa Oy is the shipper's contracting party, the shipper pays a service fee of 5 per cent and the carrier 3 per cent of the price of every job; if the fees together are less than 15 euros, the shipper's service fee is increased so that they total 15 euros. When publishing on the offer table, the shipper chooses whether Aivomaa Oy is the contracting party or the contract is made directly with the carrier. A job of the first kind is always performed as subcontracting regardless of which way the carrier otherwise uses. A direct-contract job can be taken only by a carrier using the service for a monthly fee, and point (a) applies to it: the contract and invoice are between the shipper and the carrier, and no service fee or percentage is charged. A carrier acting as a subcontractor must hold valid liability insurance, and Aivomaa Oy checks the information referred to in the Act on the Contractor's Obligations before the contract and periodically thereafter. The fees in force at the moment a job is completed are recorded on that job, and later changes do not affect jobs already completed. The remainder of the company's approval month and the following full calendar month are free of charge; if the company is approved on the first day of a month, that month is free. Value added tax is determined by the country of the contracting party: 25.5 per cent is added for a Finnish company, and the reverse charge applies to a company from another country, whereby the seller invoices at zero and the buyer accounts for the tax in its own country. [This clause is to be completed with counsel: the terms of set-off, the minimum amount of the subcontractor's insurance and the terms of recourse.]
A report on the previous week, Monday to Sunday, is produced and sent to each company on its own work on Mondays at 04:00 UTC, which is 06:00 Finnish time in winter and 07:00 in summer. The weekly report does not replace an invoice and does not change the agreed settlement period. Invoicing by Aivomaa Oy on the carrier's behalf (self-billing) requires a separate express agreement; providing bank details and accepting these terms is not such an agreement.
Pickup and delivery photographs taken with the driver app are attached to the job with the time and, where the device provides it, the place they were taken. They are available to the parties to the job and to Aivomaa Oy and appear in the job's claims as evidence of the condition of the trailer and cargo before and after the transport. Photographs are taken only of what the work requires and must not needlessly show outsiders.
Worksite haulage invoices: a carrier may add its customer's worksite to the service and choose whether the invoice is sent at the press of a button, weekly or every other week. The invoice is drawn up in the carrier's name with the carrier's details (business ID, bank account, invoice numbering, VAT), and the service sends it to the customer by email. Only approved working days are invoiced, each once. Payment is made directly to the carrier; Aivomaa Oy is not a party to the invoice and does not collect the receivable. The carrier is responsible for the correctness of the invoice details and of the customer's billing details.
Operation of the service and automation
Aivomaa Oy takes reasonable measures for the availability and security of the service. Maintenance windows, network failures and delays in notifications are possible. Aivomaa Oy does not guarantee that a published job will receive offers and is not liable for outages of third-party services such as mapping, routing or email. Significant known disruption should be reported to admin@rahtis.eu; urgent matters are handled through the agreed contact for the order.
Where the service uses automatic suggestions, calculations or an AI assistant, the user checks that they fit the transport in question. They do not replace checking safety and mandatory restrictions, nor agreeing on contractual changes.
A technical failure does not remove obligations that have already arisen. The circumstances of performance and the documents may be delivered to Aivomaa Oy through an agreed fallback channel and recorded on the job afterwards.
Data and acceptable use
The processing of personal data is described in the separate RAHTIS privacy notice. A company passes on the data of its employees, drivers and contacts on a lawful basis and sees to informing those persons. This does not remove Aivomaa Oy's own data protection obligations.
Commercial data, contact details and documents obtained through the service are used to perform the orders concerned and for lawful related purposes. They must not be disclosed to outsiders without a basis or used for unauthorised marketing.
An order already confirmed through Aivomaa Oy must not be diverted around the agreed contracts and settlements. This does not impose a permanent bar on the parties' own dealings in other orders.
Where a rating feature is available, a rating must concern real dealings and must not contain knowingly false statements or unnecessary personal data. Aivomaa Oy may investigate a report of misuse and restrict access to the disputed material while the investigation lasts.
Restricting access and seeking review
Aivomaa Oy may restrict access proportionately where security is at risk, fraud is suspected, the terms are materially breached or a lawful requirement so demands. Where the circumstances allow, the company is told the reason and how to cure the breach beforehand. Freezing access does not delete data: transport history, documents and amounts are retained for the period required by law.
Requests for review are sent to admin@rahtis.eu. The company may present its explanation and evidence and ask that the matter be handled by an authorised person. Restricting an account does not automatically end ongoing orders or monetary obligations.
After access has ended, the company may request the contractual and settlement documents concerning it that Aivomaa Oy holds. They are provided having regard to the rights of others, security requirements and statutory retention periods.
Claims and deviations
The shipper of a job and the carrier that performed it may file a claim in the service about a running or completed job. A claim may concern damage to the cargo or trailer, a shortage, waiting time, a deviation from the route or schedule, or another deviation related to the job. The claim is addressed to Aivomaa Oy, which is each party's contracting party: Aivomaa Oy handles it with the other party to the job and mediates between the parties. A claim does not create a direct contractual relationship between the shipper and the carrier. The procedure of this section 12 does not apply to a direct order under clause 6.6 with a carrier that uses the service for a monthly fee: there the contract of carriage is between the shipper and the carrier, and the parties settle claims between themselves. The documents and photographs of the job remain available to both parties in the service.
A claim is filed without delay once the deviation was noticed or should have been noticed. It states what happened, where and when, the amount claimed excluding VAT if known, and the available evidence. A claim in the service does not replace reservations entered in the consignment note, nor the notices, procedures and time limits required by applicable law, including the CMR Convention where it applies. If the service is unavailable, a claim may be sent to admin@rahtis.eu.
The documents and photographs of the job are attached to the claim, including those added to the job after the claim was filed. The party that filed the claim may attach files to it and write messages in it to Aivomaa Oy. Aivomaa Oy forwards the claim without delay, in its own name, to the other party to the job by email together with its attachments; the other party sees the claim, its status and the resolution in the service, and the matter is handled with it by email with Aivomaa Oy. Messages, attachments, status changes and the time of forwarding are recorded with timestamps in the claim's event log and cannot be deleted afterwards by a party. The carrier's company details are not shown to the shipper in a claim either. Evidence is assessed together with other evidence as set out in section 8.
A claim's status is open, in review, resolved or rejected. Aivomaa Oy may ask the parties for clarification and further evidence and, where necessary, handles contact with the insurer. A resolution or rejection is reasoned and notified to both parties in the service and by email. The party that filed a claim may mark it resolved if the parties have reached agreement. No messages can be added to a closed claim; a continuing or new matter is handled as a new claim.
Aivomaa Oy's resolution of a claim is its position as contracting party and as intermediary between the parties. It is not an arbitral award, it does not prevent a party from bringing the matter before a court as set out in section 13, and it does not limit rights under mandatory law or the CMR Convention. A claim does not in itself entitle a party to withhold an undisputed payment. Payment or set-off of an accepted claim is agreed separately and recorded in the claim.
Liability, changes and disputes
The liability of Aivomaa Oy and of users is determined by applicable law and by the commitments made. The carrier is responsible for the transport, its equipment and its drivers; each party is responsible for the accuracy of the data it enters. Engaging an external performer does not remove the liability Aivomaa Oy has under the law. These terms neither exclude nor limit liability that cannot be excluded or limited by agreement.
Changes to the terms are notified to users before they are applied, stating the new version and the date it takes effect. Material changes requiring consent are accepted separately. Changes do not apply retroactively to orders already confirmed.
Finnish law applies, subject to the precedence of mandatory provisions and applicable international conventions. The parties first seek to settle a dispute through the claims procedure in the service under section 12 or through admin@rahtis.eu. Failing agreement, the dispute is heard by the competent court in Helsinki unless mandatory rules on jurisdiction, including the applicable CMR Convention, require otherwise.
These terms are drawn up in Finnish and in English. If the language versions conflict, the Finnish version prevails.
